1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you") and Lunetra, operated by Shaunak Choudhury, an individual based in India ("we," "us," or "our") in India. These Terms govern your access to and use of our website,www.lunetrahq.com, and our AI chatbot platform (collectively, the "Service").

By creating an account or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you may not use the Service.

2. Definitions

Customer: The individual or organization that has registered to use the Service.

Customer Content: All information, data, text, documents, or other materials that a Customer provides, uploads, or submits to the Service to create and train their chatbot.

End-User: An individual who interacts with a Customer's chatbot.

3. Account Registration

To use the Service, you must register for an account. You agree to provide information that is accurate, complete, and current. You are responsible for safeguarding your account password and for all activities that occur under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Intellectual Property Rights

4.1 Our Service

The Service and its original content (excluding Customer Content), features, and functionality are and will remain the exclusive property of Lunetra. The Service is protected by copyright, trademark, and other laws of India and foreign countries.

4.2 Your Customer Content

You retain all ownership rights to your Customer Content. By submitting Customer Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, and process such content solely for the purpose of providing, maintaining, and improving the Service for you.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable national or international law or regulation.
• Upload or transmit any Customer Content that is unlawful, harmful, defamatory, obscene, or invasive of another's privacy.
• Infringe upon the intellectual property rights of others.
• Transmit any material that contains software viruses or any other malicious computer code.
• Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
• Attempt to gain unauthorized access to the Service or its related systems or networks.

You are solely responsible for the chatbots you create and for ensuring their behavior complies with all applicable laws and these Terms.

6. Subscription and Payment

Certain features of the Service are available only through a paid subscription. By subscribing, you agree to pay the fees for your selected plan. All payments are handled by our third-party payment processor. Fees are non-refundable except as required by law. We may change our subscription fees, but any changes will apply only to subsequent billing cycles after providing you with reasonable notice.

7. Termination

We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by discontinuing use of the - Service or through your account settings.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHAUNAK CHOUDHURY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE IS LIMITED TO THE TOTAL AMOUNT OF FEES YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Tripura, India.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to use our Service after those revisions become effective, you agree to be bound by the revised terms.
